1.1. iQuoth.org is a non-profit organization that attempts to provide a knowledge management tool for strategic planning. Currently, we are striving to operate by providing “Quoth Shop” and a good Service to the user.
1.2. The Service is defined as a means (acts as an online venue) merely making Quoth Shop available to the User.
1.3. The User is defined as Client (“seeking Freelance Expert”) or Freelance Expert (“seeking Client”) of the Service.
1.4. Client is defined as registered company or party purchasing freelance work tasks, or requesting for proposal on the Service.
1.5. Freelance Expert is defined as member of freelancer groups offering a wide variety of freelance work tasks to customize as solutions for exact project testing needs of clients.
1.6. Freelance work task is defined as Product offered on the Service for customization.
1.7. The Content is defined as the Website’s information, message, data, link, file, material, and/or photograph that the Users provide, upload, post, or make available on or through the Service.
1.8. The Team is defined as two or more members of freelance groups assembled to engage project needs of a Client.
2.3. Your access to the Service will be terminated upon your notice to iQuoth.org that any change is unacceptable; otherwise your continued use of or access to the Service shall constitute your acceptance of all changes and they shall be binding upon you.
3. Description of Service
3.1. The Service is the property of iQuoth.org.
3.2. The Service is provided to you on an “AS IS” and “AS AVAILABLE” without warranty of any kind, either expressed or implied.
3.3. You must be of legal employment age in your respective country to use the Service and buy for a freelance work task. If you are not of legal employment age, you must stop using the Service immediately or else provide iQuoth.org with written parental approval.
3.4. iQuoth.org reserves the right to refuse Service to anyone at any time without notice for any reason.
4.1. You understand and agree that as you register, you will not use the Service if you are not of legal employment age in your respective country to buy for a freelance work task.
4.2. You understand and agree that as you register, you will not create more than one personal profile, or account.
4.3. You understand and agree that as you register, you will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account. That is, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under your account and any other actions taken in connection with the Service. iQuoth.org will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. You must immediately notify iQuoth.org of any unauthorized uses of your account or any other breaches of security.
4.5. You understand and agree that as you register, you will not falsify your own or any other identity.
5. Proper Use
5.1. You will not provide, submit, upload, post, email, or make available any false, inaccurate, fraudulent, machine- or randomly-generated, ethically reprehensible, or otherwise inappropriate Content to the Service, or in some cases, postings that have been mislabeled or are otherwise deceptive.
5.2. You will not provide, submit, upload, post, email, or make available any Content to the Service that:
a.) does violate the privacy rights, intellectual property rights, publicity rights, copyrights, patent, trademark or trade secret rights, contract rights, or any other rights of any third party unless you own the rights, have sufficient rights, have consent from the owner of the Content, or have fully complied with any third-party licenses relating to the Content;
b.) violates any applicable law, regulation, or rule of any third party;
c.) is obscene, libelous, defamatory, hateful or racially bigoted;
d.) evokes illegal practices;
e.) contains or attempt to install or promote spyware, malware or other computer code designated to enable you or others to gather information about or monitor the online or other activities; and
f.) makes threats of any kind, intimidates, discriminates, insults, harasses, incites harassment, advocates harassment, or bullies anyone.
5.3. You will not disseminate instructions, directions, computer codes, scripts, viruses, worms, Trojan horses, malicious code, or other harmful or destructive Content to the Service aimed at limiting or disabling the operation of the Service, or Users.
5.4. You shall make every effort to avoid errors in providing, submitting, uploading, posting, emailing, or making available any Content to the Service.
5.6. iQuoth.org does not have the resources to nor does it undertake any obligation to, control, research, verify, validate, or approve the Content that is received or viewed on the Service other than Product archive page. iQuoth.org expects that the User will undertake necessary activities and practices and will use caution and common sense when using the Service.
6.1. Payments from Client
a.) All payments for a Product must be made via Quoth Shop > Product > Cart > Checkout page by clicking on “Place Order” button. Violation of this rule will enable iQuoth.org to end Team’s privileges and membership. This includes implementing restriction to client not limited to immediate account suspension. Once the payments are made by the Client, the Team must respond within a day (8 hours). Note if the Client has already made Payments to an order and wish to add an additional Product to his/her order or need to change an existing Product on his/her order, the Client will need to cancel his/her initial order and place a new order. The Service encourages Client to contact Customer Support for assistance within the day (8 hours). On the other hand, if the Team fails to confirm that the freelance work has started, or inform the Client that the freelance work requires more understanding and review time before the implementation of freelance work method gets started, the Client may contact Customer Support for order cancellations. The cost of Client’s project will be refunded and paid by PayPal.
6.2. Payments for Group Members
a.) Commission: You will be paid in the form of “Commission” for all Products purchased by your Clients and delivered by other Group Members using the Service. That is, for Products you sell to your Clients and deliver by other Group Members through Quoth Shop, you will receive Payment in the form of a “Commission” calculated in accordance with Exhibit xx.
b.) Revenue: You will be paid in the form of “Revenue” calculated in accordance with Exhibit xx for earning hard cost money from completed orders.
c.) Taxes: You are responsible for determining what, if any, taxes apply to Payments you receive, for maintaining any required documentation, and for collecting, reporting and remitting taxes to the appropriate authorities.
d.) Timing of Payments: As you accumulate Commissions and/or Revenues in your Account, you will be paid fairly and on time through PayPal once your Account balance reaches your designated payment threshold. Payments will be automatically pushed to you within thirty (30) days after the last day of the month during which your Account balance reaches the threshold. To receive payments, you must have a Paypal account. Note iQuoth.org may disable your ability to receive payments to prevent false activity. This may come as a result of policy violations, including security issues, false behavior reported by clients, or multiple account issues associating to your Group membership.
7. Product Pricing
7.1. The Group set the prices for all Products offered through Quoth Shop.
8. Client Discount
8.1. Whenever a Client order of any Product from Quoth Shop during special occasion, or promotion of any events, Client can receive up to a ten percent (10%) discount.
8.2. Discount cannot be combined with any other discounts, coupons, or promotions.
9.1. Clients can use ticket in a form of “Coupon” to get discount when purchasing a Product.
9.2. Coupon cannot be combined with any other coupons, discounts, or promotions.

11. Third Party Content
11.1. All Content offered for sale through the Service may be made available for purchase on third party websites. Individual partners may establish and control their own retail prices, so they may differ from those on the Website.
12. iQuoth.org Rights and Discretion
12.2. iQuoth.org reserves the right and discretion to manage and facilitate the proper functioning of the Service. iQuoth.org shall undertake its best efforts to make the Service available for use or access.
12.5. iQuoth.org reserves the right and discretion to use the Content provided, submitted, uploaded, posted, or made available by you on the Service for iQuoth.org’s own internal and marketing purposes and use that Content in connection with iQuoth.org operation.
12.6. iQuoth.org reserves the right and discretion to refuse, suspend, or restrict access to or the availability of any aspects of its Service with or without notice at any time and without any liability to you.
12.7. iQuoth.org reserves the right and discretion to modify, improve, suspend, or discontinue the Service with or without notice at any time and without any liability to you.
13. Non-Human Visitors
13.1. Any Non-Human Visitors to the Service are restricted to access the Service.
13.2. Any Non-Human Visitors to the Service shall be considered agents of the individual(s) who controls, authors, or otherwise makes use of them. Such individual(s) shall be deemed responsible for the actions of their Non-Human Visitor devices in the same manner as if they personally visited the Service.
13.3. Non-Human Visitors include, but are not limited to, web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile or gather Content from the Service automatically.
14.1. You agree to indemnify, hold harmless, and defend iQuoth.org and (as applicable) our related entities, affiliates, and our and their respective officers, directors, agents, and employees at all times from and against any losses, liabilities, claims, actions, proceedings, demands, costs, expenses and damages (actual, special, incidental, indirect, consequential, or exemplary) of every kind and nature, known and unknown, whatsoever including but not limited to defamation, privacy, infringement of intellectual property rights, reasonable attorney’s fees, death, bodily injury, property damage or pecuniary losses in which iQuoth.org may sustain, incur, suffer or pay arising out of or in connection with any Content, reliance on the Content, any Third Party Applications, Content you provide, submit, upload, post, email, or make available on or through the Service, your use of the Service, your access to the Service, loss of use, data, settings, timeliness, reliability, maintenance, profits, goodwill, and/or other intangible losses (including the inability to use the Service, interruption of use or loss or corruption of data, server or connection failure, error, omission, delay in transmission, computer virus, or unauthorized access to or alteration of your data of any third party on the Service), your conduct in connection with the Service or with other Users of the Service, or any violation of this Agreement or of any law or the rights of any third party.
15. No Warranty
15.1. iQuoth.org claims no ownership or control over any Content provided, submitted, uploaded, posted, emailed, or made available by you on or through the Service other than Product archive page.
15.2. iQuoth.org does not represent, express, or imply that we warrant, endorse, or guarantee any Content available on or linked to by the Service other than Product archive page, including without limitation content hosted on third party web sites, or that we believe the validity, accuracy, completeness, or usefulness of the Content.
15.3. iQuoth.org does not represent, express, or imply that the Service will be accurate, reliable, uninterrupted, secure or error-free.
15.4. iQuoth.org does not represent, express, or imply that the defects in the Service will be corrected though we may undertake remedial efforts.
15.5. iQuoth.org does not represent, express, or imply that the server that makes it available are free of viruses or other harmful components.
15.6. iQuoth.org does not actively monitor the Content, and as such, is not responsible for the Content provided, submitted, uploaded, posted, emailed, or made available on the Service other than Product archive page, including, but not limited, for any consequences of the kind incurred because of the errors, omissions of any, mistakes, losses, damages, inaccuracies, or results of the use of the Content, or any viruses, malicious software, or the like which may be transmitted to or through the Service by any third party. Instead, he merely provides access to such Content as a Service to you.
15.7. iQuoth.org expects that you will use your best judgment, exercise caution, and use common sense when appropriate in using and/or providing, submitting, uploading, posting, emailing, or making available the Content.
16. Termination of Account
16.1. iQuoth.org reserves the right to terminate User’s account, at any time and for valid reason (affecting, limiting or compromising our interest), if we determine that the termination is necessary. In the event of termination, iQuoth.org will inform the User by sending e-mail and disable the User’s account.
16.2. If User wishes to terminate his/her account, s/he may simply discontinue using the Service without giving any reasons.
17. Exclusion of Liability
17.1. In no event will iQuoth.org be responsible or liable in any manner with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for any special, incidental, indirect, consequential, or exemplary damages of every kind and nature, known and unknown, whatsoever including but not limited to defamation, privacy, infringement of intellectual property rights, reasonable attorney’s fees, death, bodily injury, property damage or pecuniary losses in which iQuoth.org may sustain, incur, suffer or pay arising out of or in connection with any Content, reliance on the Content, any Third Party Applications, Content you provide, submit, upload, post, email, or make available on or through the Service, your use of the Service, your access to the Service, loss of use, data, settings, timeliness, reliability, maintenance, profits, goodwill, and/or other intangible losses (including the inability to use the Service, interruption of use or loss or corruption of data, server or connection failure, error, omission, delay in transmission, computer virus, or unauthorized access to or alteration of your data of any third party on the Service), your conduct in connection with the Service or with other Users of the Service, or any violation of this Agreement or of any law or the rights of any third party. The necessary is carried out to avoid any declarations of the damages, but it is not possible to prevent any declarations.

18.1. Links to third party websites on the Service are provided solely as a convenience to you.
18.2. When you use these links, you leave the Service.
18.3. The Service has not reviewed all of these third party sites, does not control, and is not responsible for, any of these sites, their content or privacy practices.
18.4. The Service does not endorse or make any representations about the third party sites, or any information, services, or products found on the sites.
18.5. If you decide to access any of the linked sites, iQuoth.org encourages you to read their privacy statements.

19. IP Address
20.1. You understand and agree that the software places a cookie, a text file containing bits of information (such as your username and password), in your browser’s cache. This is ONLY used to keep you logged in/out. The software does not collect or send any other form of information to your computer.
21. Governing Law
21.1. Users are responsible to ensure that they comply to their country’s law, regulation and legislation on employment.
21.2. This agreement is governed by the laws of Philippines and the Users hereby submit to the jurisdiction of the courts of Philippines.
